My philosophy is that the objective should not be the endless pursuit of a risk free structure  that is insensitive to business objectives but rather a practical business-orientated approach that employs pragmatic solutions to accomplish business objectives while mitigating unreasonable levels of exposure.

Kevin deals with a broad scope of corporate and business planning
issues including corporate formation including structuring, negotiations and documenting agreements, resolving contract and other disputes and also exit strategies.
Organization and incorporation of new businesses including LLC, C corps, S corps, joint ventures, strategic alliances and other business entities. Operating
Agreements, Buy-Sell Agreements and other formation documents, confidentiality agreements, commission agreements, non-competes and related services.  My philosophy is to understand the sensitivities and objectives
of the businesses and the challenges to offer insight and achieve the business 
goals.

Structuring, negotiating and documenting sale, purchase, development, construction and financing transactions, leasing transactions

Guiding clients through the process including letters of intent, due diligence,
representations and warranties, indemnities that survive the closing, structing,
negotiating and documents the transaction and earnouts

Analyze, plan and impement resolution programs for problem loans and business financing issues. My philosophy is that the voluntary negotiation and
settlement without litigation or bankruptcy is often the most efficient means of
dealing with problems if handled early in a problem phase.

I represent trade associations, foundations, professional societies, charities and other non-profit entities in connection with a variety of formation and management
issues
